Terms of Service

These Terms of Service ("Terms") govern your engagement with Africorex Ltd and the services we provide. By requesting a quotation, entering into a contract, or using the Africorex client portal, you agree to be bound by these Terms. Please read them carefully.

These Terms are governed by the laws of Kenya. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Kenyan courts.

1. About Africorex Ltd

Africorex Ltd is a company incorporated in Kenya offering technology solutions, construction services, and general supplies. We operate under applicable Kenyan law including the Companies Act (Cap. 486), the Public Procurement and Asset Disposal Act, 2015, and any sector-specific legislation applicable to each service line. 2. Services

Africorex provides the following categories of services: Technology Solutions: Software development, web development, cloud computing, cybersecurity, artificial intelligence, data analytics, Internet of Things, mobile application development, virtual and augmented reality, and digital marketing. Construction Services: Civil engineering, structural engineering, electrical engineering, mechanical engineering, water works, project management, renovation and remodelling, interior design, and landscape design. General Supplies: Construction materials, office supplies, safety equipment, and tools and equipment. The specific scope, timeline, deliverables, and pricing for any engagement will be set out in a written quotation or contract agreed between you and Africorex.

3. Quotations and Contracts

All quotations issued by Africorex are valid for the period stated on the face of the quotation. Acceptance of a quotation must be made in writing before the validity period expires. Africorex reserves the right to withdraw or revise a quotation at any time before written acceptance. A binding contract between you and Africorex arises only upon written acceptance of a quotation and, where required, execution of a formal service agreement or purchase order. No verbal agreement shall be binding on Africorex. Africorex reserves the right to decline any engagement at its discretion.

4. Payment Terms

Unless otherwise agreed in writing, the following payment terms apply: For technology and construction projects: An advance deposit of thirty percent (30%) of the contract value is required upon signing, with the balance payable on completion unless milestone payment schedules are agreed. For general supplies: Full payment or confirmed purchase order is required before dispatch of goods. All amounts are in Kenya Shillings (KES) and are inclusive of VAT at the applicable rate unless expressly stated otherwise. Late payment may attract interest at the prevailing Central Bank of Kenya rate plus three percent (3%) per annum, calculated daily. Africorex's accepted payment methods are bank transfer to Stanbic Bank Kenya Ltd and M-Pesa where applicable, as detailed on invoices.

5. Delivery and Completion

Timelines provided in quotations and contracts are estimates based on information available at the time of quoting. Africorex will use reasonable endeavours to meet agreed timelines but is not liable for delays caused by client-side delays, third-party failures, force majeure events, or changes to the agreed scope of work. Any change to the agreed scope of work must be requested in writing. Africorex will issue a change order specifying the additional cost and revised timeline. Work on changed scope will not commence until the change order is approved in writing by the client.

6. Intellectual Property

Unless expressly agreed otherwise in writing, intellectual property rights in all deliverables created by Africorex under a contract shall vest in the client upon receipt of full payment of all amounts due. Prior to full payment, Africorex retains all intellectual property rights in the deliverables and grants only a limited licence to the client for evaluation purposes. Africorex retains perpetual rights to use generic methodologies, tools, frameworks, and know-how developed during the engagement for other projects. No confidential information of either party shall be included in such reuse.

7. Confidentiality

Each party agrees to keep confidential all information received from the other party that is marked as confidential or that a reasonable person would understand to be confidential by its nature. This obligation survives termination of the contract for a period of three (3) years. Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that the receiving party is required to disclose by law or court order.

8. Limitation of Liability

To the maximum extent permitted by applicable Kenyan law, Africorex's total liability to you in respect of any single contract shall not exceed the total fees paid by you to Africorex under that contract in the twelve (12) months preceding the relevant claim. Africorex shall not be liable for any indirect, consequential, special, or incidental loss or damage including loss of profit, loss of data, or business interruption, even if advised of the possibility of such loss. Nothing in these Terms limits liability for fraud, death, or personal injury caused by Africorex's negligence.

9. Termination

Either party may terminate a contract for material breach that remains unremedied for fourteen (14) days after written notice specifying the breach. Africorex may suspend or terminate services immediately if any payment is thirty (30) or more days overdue, or if you use our services for any unlawful purpose. On termination, you must pay for all work completed up to the date of termination. Africorex will deliver any completed deliverables upon receipt of such payment.

10. Client Portal

Access to the Africorex client portal is granted to clients for the purpose of viewing their quotes, invoices, and project documents. Portal credentials are personal and must not be shared. You are responsible for all activity under your portal account. Africorex reserves the right to suspend portal access at any time for security reasons or upon termination of a client engagement.

11. Amendments to These Terms

Africorex may update these Terms from time to time. The updated version will be published on our website with a revised effective date. Continued use of our services after the revised Terms take effect constitutes acceptance. For existing contracts, amended Terms apply only to new work ordered after the amendment date unless both parties agree otherwise in writing.
